Definitions
- "We", "us", "our" means Subversion RX, the operator of this site.
- "You" means the qualified research purchaser placing the order and, where applicable, the institution on whose behalf the order is placed.
- "Materials" means the laboratory research chemicals and reference compounds listed on this site.
- "Order request" means a checkout submission that has not yet been accepted and paid.
Research use condition
All orders are placed on the condition that the materials are for laboratory research use only, as set out in our Research Use Policy. That policy forms part of these terms.
You confirm that you are a qualified research purchaser as defined in the Research Use Policy, that you are of legal age to enter a contract in your jurisdiction, and that the materials will not be administered to humans or animals or resold for that purpose. A breach of this condition is a material breach of these terms.
Orders are requests
Submitting checkout creates an order request. No sale is formed until we accept the order and confirm payment. We may decline any request, in whole or in part, including where an item is unavailable, the shipping details are incomplete, or the request appears to fall outside our Research Use Policy.
Payment
No payment is taken at checkout. After you place an order we send an invoice link with the order details to the email address on your account, and the same link appears on your account page. The order stays in an awaiting-payment state until that invoice is paid and marked paid by us.
Pay only through the invoice link we send for your order number. If a payment cannot be verified, or an invoice goes unpaid, the order is not shipped and may be cancelled.
Prices and availability
Prices are in US dollars and may change without notice. Any quantity discount and shipping cost shown at checkout applies to that order only. Listings can go out of stock before an order is accepted.
Pricing, discounts, kit totals, and shipping charges are calculated and confirmed by us at the time an order is accepted. Where a price shown to you was affected by an obvious error or a stale page, we will contact you with the corrected total before accepting the order, and you may withdraw the request at no cost.
Changes and cancellation
You may request a change or cancellation before the order is marked shipped by contacting us with the order number. Once shipped, an order cannot be cancelled.
We may cancel an order before shipment at our discretion, including where payment cannot be verified, an item becomes unavailable, or the request conflicts with the Research Use Policy. Cancelled orders are shown as cancelled in your order history. Where an order is cancelled by us after a verified payment, we will arrange a refund of the confirmed amount using the payment details on the paid invoice.
Shipping, title, and risk
Orders ship from our United States warehouse, typically arriving in three to five business days once the order is accepted and paid. Delivery estimates are estimates only and we are not liable for carrier delays. Tracking numbers are added to your order and sent to your account email when the parcel is dispatched.
Title and risk of loss pass to you when the carrier takes possession of the parcel. You are responsible for providing a complete, accurate, and deliverable address; parcels lost because of an incorrect address are not replaced. You are responsible for any import duties, taxes, permits, and compliance obligations that apply where the parcel is delivered.
Inspection, damage, and returns
Inspect every shipment on arrival. Report a shortage, breakage, or a lot that does not match its certificate of analysis within seven days of delivery, with the order number and photographs of the packaging and vials. Verified fulfilment errors and transit damage are resolved by replacement of the affected items or, where replacement is not possible, a refund of the amount paid for those items.
Because these are laboratory materials whose storage conditions cannot be verified once they leave our facility, opened or used items cannot be returned and we do not accept returns for change of mind.
Accounts
You are responsible for the accuracy of the account and shipping details you provide and for keeping your login secure. We may suspend accounts used in breach of these terms.
You may not share account credentials, use another person's account, attempt to access administrative areas or other customers' records, scrape or bulk-harvest the site, or interfere with its operation or security. Site content, listings, imagery, and branding are our property or licensed to us and may not be copied for commercial use.
No warranties beyond specification
Materials are supplied as described in the listing and the certificate of analysis for the lot. We make no other representation or warranty, express or implied, including any warranty of fitness for a particular purpose. We make no medical, therapeutic, or performance claims of any kind.
Limitation of liability
To the fullest extent permitted by law, our total liability for any order is limited to the amount paid for that order, and we are not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law. You are responsible for any loss arising from use of the materials outside our Research Use Policy.
Indemnity
You agree to indemnify and hold us harmless against claims, losses, penalties, and reasonable legal costs arising from your handling, storage, transfer, or use of the materials, from any use outside the Research Use Policy, or from your breach of these terms or of any law that applies to you.
Events outside our control
We are not liable for delay or failure to perform caused by events beyond our reasonable control, including carrier disruption, supplier or manufacturing failure, payment-network outages, natural events, industrial action, or changes in law or regulation.
Changes to these terms
We may update these terms. The version published on this page when your order request is submitted is the version that governs that order. Continuing to use the site or place orders after an update means you accept the updated terms.
Disputes, governing law, and severability
Please contact us first so we can try to resolve any issue directly. These terms are governed by the laws of the United States and of the state in which we maintain our principal place of business, without regard to conflict-of-law rules, and the courts of that state have exclusive jurisdiction over any dispute. Claims must be brought individually and not as a class action.
If any provision is found unenforceable, the remainder stays in force. These terms, together with the Research Use Policy, the Privacy Notice, and the Shipping and Returns information, are the entire agreement between us for your order.
